Rotatrix End User License Agreement

This End User License Agreement (“Agreement”) is between you and Icebound Flame LLC (“Icebound Flame,” “we,” or “us”) and governs your use of the proprietary Rotatrix host application, bundled proprietary integrations, firmware update tools, and other software that we identify as Rotatrix proprietary software (collectively, the “Rotatrix Software”).

By installing, launching, or using the Rotatrix Software after being presented with this Agreement and indicating your acceptance, you agree to these terms.

1. License

Subject to this Agreement, Icebound Flame grants you a limited, non-exclusive license to install and use the Rotatrix Software for personal or internal business purposes with a Rotatrix device authorized by Icebound Flame.

The license associated with a purchased Rotatrix device is perpetual: it does not expire merely because of the passage of time. It remains subject to compliance with this Agreement.

The software license is associated with the authorized Rotatrix device rather than with a particular computer. You may install the Rotatrix Software on computers you own or control and use it with the authorized device.

The Rotatrix Software is licensed, not sold. Icebound Flame and its licensors retain all rights not expressly granted under this Agreement.

2. Device License and Transfer

A software license supplied with Rotatrix hardware is tied to that authorized device.

You may transfer the license together with permanent transfer of the associated Rotatrix device to another person. You may not transfer, sell, sublicense, or otherwise separate the license from the associated device.

Following a permanent transfer, you must stop using any license credentials or other rights associated solely with that device.

3. Restrictions

Except as expressly permitted by this Agreement or applicable law, you may not:

copy or redistribute the proprietary Rotatrix Software except for copies reasonably necessary for installation or backup;
sell, rent, lease, sublicense, or make the proprietary Rotatrix Software available separately from an authorized transfer under Section 2;
modify, translate, reverse engineer, decompile, or disassemble the proprietary Rotatrix Software;
extract or reuse proprietary Rotatrix source code, implementation code, user-interface assets, or other protected portions of the Rotatrix Software in another product;
remove or alter copyright, trademark, patent, licensing, or other proprietary notices;
disable, circumvent, forge, or interfere with device authentication, license verification, entitlement checks, or other technical measures used to determine whether a device or feature is authorized; or
use the Rotatrix Software with hardware that Icebound Flame has not authorized for use with that software.

These restrictions do not limit rights that cannot lawfully be restricted under applicable law.

4. OpenAxis and Other Separately Licensed Components

The Rotatrix Software may communicate with, incorporate, or be distributed alongside software that is subject to separate license terms.

In particular, the OpenAxis SDK, protocol specification, examples, documentation, and related materials identified as OpenAxis materials are not licensed under this Agreement. They are available under their applicable OpenAxis licenses, currently Elastic License 2.0 or GNU General Public License version 3, as specified in the OpenAxis distribution and documentation.

Nothing in this Agreement reduces or restricts rights granted to you under an applicable open-source or source-available license.

Third-party components included with the Rotatrix Software remain subject to their applicable third-party licenses. Where a third-party license conflicts with this Agreement with respect to that component, the third-party license controls for that component.

5. Intellectual Property

The Rotatrix Software, including its proprietary code, design, graphics, interfaces, documentation, and other materials, is protected by copyright and other intellectual-property laws.

“Rotatrix” and “OpenAxis” are trademarks of Icebound Flame LLC. This Agreement does not grant you any right to use Icebound Flame trademarks except as permitted by applicable law.

Certain Rotatrix technology is the subject of pending patent applications. Except for rights necessarily implied by your authorized use of the Rotatrix Software and any rights expressly granted under a separately applicable license, this Agreement does not grant any license to manufacture Rotatrix hardware or implement proprietary Rotatrix firmware, licensing systems, or services.

6. Updates and Compatibility

Icebound Flame may provide updates, bug fixes, new integrations, or other improvements to the Rotatrix Software.

We do not promise any particular update schedule, feature set, operating-system compatibility, or continuing compatibility with any third-party application.

Third-party applications may change or discontinue APIs, plugin systems, security policies, or other functionality on which an integration depends. As a result, an integration that works today may stop working in the future.

Your perpetual license to a version of the Rotatrix Software that you have lawfully received is not converted into a subscription merely because a later version or feature is released.

An update or new feature may be accompanied by updated terms. If affirmative acceptance of new terms is required, those terms will apply after you accept them. Unless otherwise stated, rejecting new terms does not by itself terminate your license to software previously provided to you under an earlier version of this Agreement.

7. License Verification and Services

The Rotatrix Software may verify that connected devices, licenses, integrations, or software entitlements are authorized.

You may not falsify, bypass, disable, or interfere with those verification mechanisms except to the extent applicable law expressly permits.

Some optional functionality may depend on online services. Unless expressly stated otherwise when such functionality is offered, this Agreement does not guarantee the indefinite availability of any online service.

8. Privacy

Use of Rotatrix websites and services may involve the processing of information as described in the applicable Rotatrix Privacy Policy.

The Rotatrix Software may also create local diagnostic logs or other technical information necessary to operate or troubleshoot the product. Any transmission of diagnostic or usage information to Icebound Flame will be governed by the applicable privacy disclosures.

9. Disclaimer of Warranties

TO THE MAXIMUM EXTENT PERMITTED BY LAW, THE ROTATRIX SOFTWARE IS PROVIDED “AS IS” AND “AS AVAILABLE,” WITHOUT WARRANTIES OF ANY KIND, WHETHER EXPRESS, IMPLIED, OR STATUTORY, INCLUDING IMPLIED WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, TITLE, AND NON-INFRINGEMENT.

ICEBOUND FLAME DOES NOT WARRANT THAT THE SOFTWARE WILL BE ERROR-FREE, OPERATE WITHOUT INTERRUPTION, MEET EVERY USER'S REQUIREMENTS, OR REMAIN COMPATIBLE WITH EVERY OPERATING SYSTEM, COMPUTER, OR THIRD-PARTY APPLICATION.

Any warranty applicable to Rotatrix hardware is governed separately by the Rotatrix Purchase Terms.

Some jurisdictions do not permit certain warranty exclusions, so some of the above exclusions may not apply to you.

10. Limitation of Liability

TO THE MAXIMUM EXTENT PERMITTED BY LAW, ICEBOUND FLAME LLC AND ITS OWNERS, EMPLOYEES, CONTRACTORS, AND LICENSORS WILL NOT BE LIABLE FOR INDIRECT, INCIDENTAL, SPECIAL, EXEMPLARY, PUNITIVE, OR CONSEQUENTIAL DAMAGES, OR FOR LOSS OF PROFITS, REVENUE, DATA, WORK PRODUCT, BUSINESS OPPORTUNITY, OR GOODWILL, ARISING OUT OF OR RELATING TO THE ROTATRIX SOFTWARE.

TO THE MAXIMUM EXTENT PERMITTED BY LAW, ICEBOUND FLAME'S TOTAL AGGREGATE LIABILITY ARISING OUT OF OR RELATING TO THE ROTATRIX SOFTWARE WILL NOT EXCEED THE AMOUNT YOU PAID FOR THE ROTATRIX DEVICE WITH WHICH THE SOFTWARE LICENSE WAS PROVIDED.

These limitations apply regardless of the legal theory asserted and even if Icebound Flame has been advised that such damages are possible.

Nothing in this Agreement excludes or limits liability that cannot lawfully be excluded or limited, including liability to the extent resulting from conduct for which limitation is prohibited by applicable law.

11. Termination

This Agreement and your license terminate if you materially violate these terms.

Where the violation is capable of being cured, Icebound Flame may provide notice and a reasonable opportunity to cure before treating the license as terminated, except where immediate termination is reasonably necessary to address fraud, circumvention of licensing or security measures, infringement, or unlawful use.

Upon termination, you must stop using and delete the proprietary Rotatrix Software.

Termination of this Agreement does not terminate rights granted independently under an OpenAxis, open-source, or third-party license.

12. Consumer Rights

Nothing in this Agreement limits any mandatory consumer right or remedy that cannot be waived under the law applicable to you.

If applicable law gives you rights that conflict with a provision of this Agreement, those mandatory rights control to the extent of the conflict.

13. Governing Law and Venue

This Agreement is governed by the laws of the State of New York, without regard to its conflict-of-laws rules.

Except where applicable consumer law provides otherwise, any dispute arising from this Agreement or the Rotatrix Software will be brought in the state or federal courts located in New York County, New York, and each party consents to their jurisdiction.

14. General Terms

If any provision of this Agreement is held unenforceable, the remaining provisions remain in effect to the fullest extent permitted by law.

A failure to enforce any provision is not a waiver of that provision.

This Agreement, together with any terms expressly incorporated into it, constitutes the agreement between you and Icebound Flame concerning the proprietary Rotatrix Software and supersedes prior software-license terms covering the same software.

The Rotatrix Purchase Terms separately govern purchase, shipping, returns, and hardware warranties.
